Philips may , at its sole option, make upgrades to the Software available b y gener al posting on a website or b y any other means or methods. Such upgrades may be made availab le pur suant to the terms of this Agreement or the release of such upgr ades to you may be subject to y our acceptance of another agreement. 8. Support Ser vices. Philips is not ob ligated to provide technical or other suppor t (âÂÂSuppor t Ser vicesâÂÂ) for the Software . If Philips does provide y ou with Suppor t Ser vices, these will be go ver ned by separate ter ms to be agreed between y ou and Philips. 9. Limited Software W arranty . Philips provides the Software âÂÂas isâ and without any war r anty except that the Software will perform substantially in accordance with the documentation accompanying the Software for a per iod of one year after y our ﬠr st do wnload, installation or use of the Software , whichever occur s ﬠrst. Philipsâ entire liability and your exclusiv e remedy for breach of this war r anty shall be , at Philipsâ option, either (i) return of the pr ice paid by y ou for the Software (if any); or (b) repair or replacement of the Software that does not meet the war r anty set for th herein and that is retur ned to Philips with a copy of y our receipt. Philips does not guar anty that you will be ab le to download, copy , store , display , tr ansfer , and/or play Secure Content. 5. Open Sour ce Software. Y our license r ights do not include any right or license to use , distr ibute or create der ivative w or ks of the Software in an y manner that would subject the Software to Open Source T er ms. âÂÂOpen Source T er msâ means the terms of any license that directly or indirectly (1) create, or pur por t to create , obligations f or Philips with respect to the Software or der ivative wor k thereof; or (2) gr ant, or pur por t to gr ant, to any third par ty any rights or immunities under Philipsâ intellectual proper ty or propr ietar y r ights in the Software or der ivative w or k thereof. 6. T ermination. This Agreement shall be effectiv e upon installation or ﬠr st use of the Software and shall terminate (i) at the discretion of Philips, due to your failure to compl y with any term of this Agreement; or (ii) upon destr uction of all copies of the Software and related mater ials provided to y ou by Philips hereunder . PhilipsâÂÂs r ights and your ob ligations shall sur vive the ter mination of this Agreement. 7. Upgrades. Philips may , at its sole option, make upgrades to the Software available b y gener al posting on a website or b y any other means or methods. Such upgrades may be made availab le pur suant to the terms of this Agreement or the release of such upgr ades to you may be subject to y our acceptance of another agreement. 8. Support Ser vices. Philips is not ob ligated to provide technical or other suppor t (âÂÂSuppor t Ser vicesâÂÂ) for the Software . If Philips does provide y ou with Suppor t Ser vices, these will be go ver ned by separate ter ms to be agreed between y ou and Philips. 9. Limited Software W arranty . Philips provides the Software âÂÂas isâ and without any war r anty except that the Software will perform substantially in accordance with the documentation accompanying the Software for a per iod of one year after y our ﬠr st do wnload, installation or use of the Software , whichever occur s ﬠrst. Philipsâ entire liability and your exclusiv e remedy for breach of this war r anty shall be , at Philipsâ option, either (i) return of the pr ice paid by y ou for the Software (if any); or (b) repair or replacement of the Software that does not meet the war r anty set for th herein and that is retur ned to Philips with a copy of y our receipt. This limited war r anty shall be void if failure of the Software has resulted from an y accident, abuse , misuse or wrongful application. Any replacement Software will be war r anted for the remainder of the original war r anty per iod or thir ty (30) days, whichever is longer . This limited warr anty shall not apply to you if the Software was pro vided to you free of charge on an evaluation only basis.

Y ou are not author ized to use an y such tr ademar ks. 13. Expor t Administration. Y ou agree that you will not directl y or indirectly , expor t or re-expor t the Software to any countr y for which the United States Expor t Administr ation Act, or any similar United States la w or regulation requires an expor t license or other U.S. Government approval, unless the appropr iate expor t license or approval has ﬠrst been obtained. By downloading or installing the Software you agree to abide b y this Expor t provision. 14. Governing la w . This Agreement is governed by y our local laws without reference to its conﬠict of la ws pr inciples. Any dispute between y ou and Philips regarding this Agreement shall be subject to the non-exclusive jur isdiction of the local cour ts. 15. General. This Agreement contains the entire agreement between you and Philips and supersedes any pr ior representation, under taking or other communication or adver tising with respect to the Software and user documentation. If any par t of this Agreement is held invalid, the remainder of this Agreement will continue in full force and eff ect. This Agreement shall not prejudice the statutor y r ights of any par ty dealing as a consumer . 16. The EULA is for the ﬠrmware embedded in the Blu-ra y Disc pla yer .
